Creator Terms & Conditions

Welcome to Kello — the platform built to turn your content talent into real earnings. These Creator Terms & Conditions ("Creator Terms") govern your use of the Kello platform ("Platform") and your participation in paid content campaigns ("Client Campaigns") run by brands and agencies ("Clients"). By creating a Kello account or joining any Client Campaign, you ("creator" or "you") confirm that you have read, understood, and agreed to these Creator Terms, together with our Terms of Service and Privacy Policy.

Please read these Creator Terms carefully. By accessing the Platform or participating in any campaign, you are entering a binding agreement with Kello. If you disagree with any part of these terms, do not use the Platform.

Eligibility

To take part in Kello campaigns, you must:

• Be at least 18 years old and legally capable of entering binding agreements.
• Reside in a territory where the Platform is available (we determine this at our discretion).
• Complete the full registration process, including linking at least one eligible social media account.

Kello may decline your application or suspend your access at any time if we determine there is a conflict of interest, a policy breach, or that you are otherwise ineligible.

Your Kello Account

Sign-up and Verification

Getting started requires creating a Kello account and completing onboarding. Connecting social accounts with OAuth is optional at sign-up — typed usernames do not unlock view tracking. You can connect TikTok, Instagram, or Facebook during onboarding or later from Profile so Kello can auto-track views on your videos. You may hold only one account. Multiple accounts per person are not permitted.

Keep your account information accurate and up to date. You are fully responsible for everything that happens under your account. Report any suspected unauthorised access immediately to [email protected].

Payment Setup

Kello partners with third-party payment providers to deliver your earnings. Approval is subject to their own review process — something Kello cannot influence or override. Kello is not a bank or financial institution; it simply facilitates the connection between you and our payment provider.

How Kello Works

Kello bridges brands with distribution. Clients brief us on content they want amplified; we make those campaigns available to eligible creators. When you join a campaign, you repost or create content within the specified guidelines. If your content meets the campaign's performance thresholds, you become eligible for a payout.

Campaigns are published in advance of funds being fully settled by the Client. If a Client fails to pay or a payment is reversed, Kello may cancel the campaign without issuing payouts — even if content has already been submitted. Participating in a campaign whose funds are not yet settled is at your own risk.

Client Campaigns

Eligibility and Approval

Not every creator will be eligible for every campaign. Kello and the Client jointly decide which creators can participate. Campaign requirements — including required actions, minimum performance thresholds, and deadlines — are shown within the Platform. All submitted content is subject to review and may be approved or rejected at either Kello's or the Client's sole discretion.

What's Not Allowed

Fraudulent or manipulative behaviour disqualifies you from all campaigns and may result in account termination. The following are strictly prohibited:

• Artificially inflating followers, likes, comments, or views — through purchases, bots, swap networks, or any other means.
• Buying verification badges or engagement.
• Promoting campaign content via paid advertising, dark posts, whitelisting, or boosted posts without the Client's explicit written approval for each instance.
• Deliberately sabotaging another creator's account, content, or metrics.
• Sending spam or distributing campaign content through unsolicited channels.

Kello's Intellectual Property

All branding, design, code, and creative assets on the Platform ("Kello Content") are owned by Kello or our licensors and protected by applicable intellectual property law. You may not copy, modify, or redistribute Kello Content without our written permission.

Your Content & IP

Any new or modified version of Client content that you create as part of a campaign ("creator Content") shall be treated as a work made for hire and becomes the exclusive property of the Client.

By submitting creator Content, you grant Kello and our Clients a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, distribute, display, and create derivative works from your creator Content across all media — current and future — for purposes related to campaign delivery and Kello's business.

You also grant Kello and relevant Clients the right to use your name, likeness, voice, and other personal identifiers in connection with the promotion of your campaign participation and the Platform.

By submitting creator Content, you confirm that you own or have full rights to it, that it does not infringe any third party's intellectual property, privacy, or publicity rights, and that you have the authority to grant the licences described above.

Platform Rules

Beyond campaign-specific rules, the following apply to your use of Kello at all times:

• No unlawful, abusive, defamatory, or hateful content or communications.
• No use or distribution of third-party intellectual property without holding the necessary rights.
• No collection or storage of other users' personal information.
• No commercial use of the Platform beyond what Kello has expressly authorised.
• No uploading of malware, viruses, or code that could disrupt Kello or any user.
• No data scraping, automated crawling, or AI/ML training using Platform data.
• No fraud or misrepresentation of any kind.

When you publish content as part of a campaign, you must make clear that it is brand content — for example by using relevant hashtags or on-screen disclosures — as required by applicable advertising and marketing standards in your jurisdiction.

Earnings & Payouts

Payouts are awarded by Clients based on the verified performance of your content within the relevant campaign window. Not every campaign offers payouts, and eligibility is always determined by Kello and the Client together.

Minimum balance for withdrawal: You must accumulate at least the equivalent of $10.00 USD before you can initiate a withdrawal. Withdrawals are limited to once every 7 days.

Kello reserves the right to reverse any payout — including by clawing back previously transferred funds — if the associated activity is later found to be fraudulent, ineligible, or in breach of these Terms. This includes but is not limited to boosted posts, botted views, or engagement purchased through any means.

You are solely responsible for all taxes, agent fees, and commissions payable on amounts you earn through the Platform.

Termination

You may leave Kello at any time by deleting your account within the Platform. Kello may suspend or terminate your account — with or without notice — at any time, including immediately if:

• You breach these Terms or any applicable law.
• We detect fraudulent, manipulative, or abusive behaviour.
• Your content is boosted artificially or with ineligible support.
• You violate applicable advertising or endorsement rules.
• You infringe the IP rights of Kello, a Client, or any third party.

Disclaimer & Liability

Kello provides the Platform on an "as is" and "as available" basis. We make no guarantees regarding uptime, campaign availability, or any particular outcome from your participation.

To the fullest extent permitted by applicable law, Kello shall not be liable for any indirect, incidental, consequential, or punitive loss — including lost earnings, data, or reputation — arising from your use of the Platform or your participation in any campaign, even if we were aware of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold harmless Kello, our Clients, and our respective officers, employees, and agents from any claim, damage, or expense — including legal fees — arising from: (a) your actions or omissions; (b) any content you submit; or (c) your breach of these Terms or any applicable law.

Your Representations

By using the Platform, you confirm and warrant that:

• All content you submit reflects your honest views and genuine experience.
• You have not been previously banned from Kello or any related platform.
• Nothing you submit infringes any third party's IP, privacy, or publicity rights.
• You will not engage in any Fraudulent Activity as defined in these Terms.
• You will comply with all applicable laws and advertising standards in your jurisdiction.

Third-Party Services

Kello integrates with social media platforms, payment processors, and other third-party services. We do not control or endorse these services and are not liable for their availability or content. Your use of any third-party service is at your own risk and subject to that service's own terms.

General

Kello may update these Creator Terms at any time. Changes take effect the moment they are posted; your continued use of the Platform constitutes acceptance. If any provision is found unenforceable, it will be removed without affecting the rest of these Terms.
